Profecto’s Attorney successfully defended the corporate interests of minority members in Limited Liability Company in the Appeal Commercial Court of Kyiv


Profecto Attorney Nazar Markiv successfully defended the interests of minority members in Limited Liability Company. Companies with limited responsibility in the case of invalidation were denied in the general meeting of members in Limited Liability Company. The findings of the

court of first instance were refuted. Profecto Attorney Nazar Markiv persuaded the appeals court that the quorum for an extraordinary general meeting was held, and the decisions legitimate.

The case was complicated by two events: first, the member of a Limited Liability Company of majority society died, and secondly, a member of a Limited Liability Company who had a significant capital did not fulfill his duties to achieve their goals.

Litigation in this category of cases is rather ambiguous. This decision is important because Ukraine legislation regulates protection of the interests of members with small share in the capital when the majority members, because of different circumstances, cannot fulfilling their mandates.
